Section 16 Filings – Who must file?

Section 16 Filings must be completed by a company’s officers and directors, and any beneficial owners of more than 10% percent of a class of the company’s equity securities registered under Section 12 of the Securities Exchange Act of 1934.

Form 3 must be filed by the insider that is registering securities for the first time. The insider must file the Form 3 within ten days of becoming an officer, director, or beneficial owner. Form 3 – Initial Statement of Beneficial Ownership.

Form 4 must be filed by an insider when changes in ownership occurs and should be reported to the SEC within two business days. Form 4 – Changes in Beneficial Ownership.

Form 5 insiders must report any transactions that should have been reported earlier on a Form 4.  Form 5 is due 45 days after the end of the company’s fiscal year. Form 5 – Annual Statement Changes in Beneficial Ownership.

How to apply for Access Codes?

Each individual or entity that is required to file must have Access Codes. 

  • Contact us for a Form ID Template in order to begin the process. 
  • Processing time takes within 1-2 business days, after which the SEC will email your CIK code with instructions how to generate rest of the Access Codes.
  • Section 16 filings are accepted from 6:00 AM to 10:00 PM EST Monday – Friday (except for federal holidays).
